Principles for remuneration

The annual meeting defines principles for remuneration of the Executive Management team after a recommendation is put presented by the Nomination and Remuneration Committee.

Implantica strives to offer terms appropriate to the market which make it possible for the corporation to recruit and retain competent personnel. Remuneration of the company management shall consist of fixed salary, a long-term incentive program, retirement benefits and other normal benefits.

The remuneration is based on the commitment and performance of the individual with respect to the goals established beforehand, both individually and collectively for the entire company. Renumeration to the CEO and other senior executives are subject to an annual review in accordance with the Company’s guidelines.


Remuneration to the board of directors

At the extraordinary general meeting on 27 August 2020, it was resolved that the total compensation in cash and value of share options to the Board of Directors in 2020 will not exceed CHF 150,000. According to Article 17 of the articles of association, the annual general meeting of shareholders has the exclusive right to approve the aggregate amounts of remuneration to the board of directors and the Executive Committee.

The members of the board of directors of the Company are not entitled to any benefits after they have resigned as members of the board.


Warrants

Under the Group’s share option programs, eligible employees and other designated individuals may be granted call options on class A shares in Implantica AG. The employee shares acquired through exercising the call options are made available and issued through conditional share capital in accordance with Article 4 of the articles of association or from class A shares in Implantica AG otherwise owned by or made available to Implantica AG or Implantica Management AG, as applicable.

Under the share option program, the participant receives one employee share for each call option. The total amount of call options in the share option program amounts to 174,974.
